This is a senior position within the Legal Department that requires a lawyer with advanced legal skills and the ability to deliver and oversee the delivery of business-oriented, effective and efficient legal services, project management, and strategic counseling on significant projects and matters for Company’s core distribution and sourcing businesses.  The ideal candidate will have strong background in M&A, joint ventures, partnerships and corporate and commercial transactions, preferably at both a well-regarded law firm and a publicly traded company.  The General Counsel will be expected to oversee the legal support for the Strategic Global Sourcing group, which manages our critical relationships with our branded, specialty and generic manufacturer customers.  In addition, this individual will work closely with other senior members of the Legal team in supporting the strategic partnership with our largest customer as well as on strategic projects spanning our health systems, physician services and community and specialty pharmacy businesses.  The General Counsel will bring a results-oriented and business-minded focus and sophisticated legal judgment along with the visible leadership and written and verbal communication skills necessary to successfully advocate for and drive both legal and business strategy.

A primary responsibility of the lawyer in this role will be to manage a legal team responsible for the delivery of legal services to Strategic Global Sourcing, which manages all of our relationships with our customers, including branded, generic and biotechnology manufacturers of prescription pharmaceuticals as well as over-the-counter product and health and beauty manufacturers.

  1. In addition, the lawyer will work closely with other senior members of the Legal Department in support of key strategic relationships and transactions for our core distribution and sourcing businesses, including a long-term partnership with our largest customer, M&A and JV transactions and commercial partnerships.
  2. The General Counsel must be able to roll-up his or her sleeves and engage in the work alongside the legal team to appropriately balance workloads for individual team members.
  3. The lawyer in this role will have management responsibility for a team of legal professionals and is required to be an effective manager of his or her reports and a developer of talent.
  4. The lawyer in this role is required to be adept at handling sophisticated legal projects, matters, and issues and should have excellent technical legal skills and expertise.
  5. In addition to excellent analytical and legal abilities, the lawyer will need to possess outstanding interpersonal skills. The successful candidate will have the ability to balance the need to be self-assured, resilient and determined with the equally important need to communicate openly and manage with appropriate collaboration, cultural awareness, humility and respect.
  6. The lawyer in this role should have excellent project leadership and project management skills because the General Counsel role often requires the lawyer in this role to take on mixed legal and business responsibility for, and leadership of, contracts or other matters that the client group wants to pursue.
  7. The General Counsel should be able to represent Company and his or her relevant client groups on significant complex business contracts or other matters.  The General Counsel frequently is required in these situations to lead or have an integral role in both legal and business negotiations.
  8. The General Counsel should have strong decision-making capability and should be highly proficient in being able to make business-oriented yet legally compliant recommendations to his or her relevant client groups.
  9. The lawyer in this role should be able to juggle multiple matters and effectively multi-task and prioritize tasks to ensure that work is completed in a timely and efficient matter.
  10. The lawyer in this role will seek out challenging tasks and assignments, engage in frequent development discussions, set his/her own career goals and development plans and execute against them.

What your background should look like (minimum qualifications)

The lawyer in this role is expected to have a minimum of 12 years of experience as a lawyer combined with expertise in mergers and acquisitions, contracts and commercial law, strategic ventures and partnerships, pricing and/or healthcare law.  Training and experience in corporate and securities law matters as well as transactional matters in a large law firm setting as well as in-house at a public company is desirable.

The lawyer in this role is comparable to a partner in a law firm and is a lawyer who can do sophisticated work as an individual contributor as well as supervise and project manage other individual legal professionals or teams of legal professionals.

  1. The lawyer in this role has the expertise and background to be comfortable supervising teams of inside and outside lawyers, including outside lawyers from major law firms used by the company.
  2. In this role, the lawyer is expected to be knowledgeable in our business and industry policies, manufacturer partners, practices and trends and be aware of the competitive landscape.
  3. Understanding of state and federal healthcare regulatory laws and working knowledge of other regulatory areas, including DEA requirements and FDA requirements.
  4. The lawyer in this role will have excellent drafting, negotiating and business and analytical skills.
  5. The lawyer in this role will have the ability to easily engage in two-way communication and solicit and accept feedback.
  6. Ability to meet critical and short deadlines, work independently and as part of a team, and be very organized and proactive.
  7. Must be mature and client-focused with strong interpersonal and collaboration skills with all stakeholders in an in-house environment.
  8. Ability to adapt and embrace processes already in place for managing a significant number of contracts.
  9. Working knowledge of corporate and securities law.
  10. Relies on extensive experience and judgment to plan and accomplish goals.
  11. Ability to communicate effectively both orally and in writing.
  12. Excellent judgment and ability to resolve complex issues effectively.
